The terms governing your use of this website and your engagement with VeroPharma Group's regulatory consulting services, under the laws of the Kingdom of Thailand.

Overview

These Terms of Service ("Terms") govern your access to and use of the website operated by VeroPharma Group ("we," "our," or "the Company") and describe the basis on which we provide regulatory consulting information and services. By accessing this website or contacting us in connection with our services, you agree to these Terms.

These Terms are governed by and construed in accordance with the laws of the Kingdom of Thailand, including the Civil and Commercial Code (B.E. 2468 / 1925) and the Electronic Transactions Act (B.E. 2544 / 2001). Nothing in these Terms limits rights you may have under applicable consumer protection legislation or mandatory Thai law provisions that cannot be excluded by contract.

Consulting Services

VeroPharma Group provides pharmaceutical, dietary supplement, and medical device regulatory consulting services to foreign manufacturers seeking to enter the Thai market. The scope, terms, fees, and deliverables of any consulting engagement are set out in a separate written agreement executed between VeroPharma Group and the client organization. These Terms of Service govern access to and use of this website; they do not constitute or modify the terms of any consulting engagement.

Our consulting services are advisory in nature. VeroPharma Group acts as a regulatory consultant and, where applicable, as a licensed local authorized representative or importer of record under Thai law. We do not guarantee specific regulatory outcomes. Thai FDA registration timelines, approval decisions, and reviewer determinations are within the sole discretion of the Thai Food and Drug Administration and other competent Thai government authorities. We cannot and do not guarantee approval, a specific timeline, or a particular regulatory classification for any product.

Initial inquiries submitted through this website or by direct communication do not constitute an engagement or create a consulting relationship. A consulting relationship is established only upon execution of a written agreement signed by authorized representatives of both parties.

Fees and Payment

Our consulting fees are set out in the written engagement agreement applicable to each project. Unless the engagement agreement specifies otherwise, the following general terms apply to our consulting services:

  • Government fees payable directly to Thai FDA or other competent authorities, including application fees, registration fees, and inspection fees, are separate from our consulting fees and are the client's responsibility unless expressly included in a quoted engagement scope.
  • Invoices are payable within the period specified in the engagement agreement. Late payments may be subject to interest at the rate of 7.5% per annum under Section 224 of the Civil and Commercial Code of Thailand, unless an alternative rate is agreed in the engagement agreement.
  • All fees quoted are exclusive of value-added tax (VAT) at the applicable Thai statutory rate, currently 7%, unless expressly stated to be inclusive of VAT.
  • Refunds are subject to the terms set out in the individual engagement agreement. Work already performed is generally non-refundable.

Intellectual Property

All content on this website, including text, graphics, layout, design, and the selection and arrangement of materials, is the property of VeroPharma Group or its licensors and is protected under the Copyright Act of Thailand (B.E. 2537 / 1994) and applicable international copyright conventions. The VeroPharma Group name, logo, and any marks displayed on this website are proprietary to VeroPharma Group.

You may access and view the content of this website for your personal, non-commercial use. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any website content without our prior written consent. Brief quotations with attribution for non-commercial reference purposes are permitted.

Work product and deliverables created under a consulting engagement are governed by the intellectual property provisions of the applicable engagement agreement. In the absence of a specific agreement provision, deliverables prepared specifically for a client and paid for in full become the property of the client upon receipt of full payment; background methods, frameworks, and tools used by VeroPharma Group in delivering services remain our property.

Confidentiality

Information you share with us during an inquiry or consulting engagement, including product details, business plans, regulatory history, and commercial strategies, is treated as confidential. We do not disclose client confidential information to third parties except as necessary to perform the services you have engaged us to provide, as required by law, or as otherwise permitted under the applicable engagement agreement.

Detailed confidentiality obligations applicable to a specific engagement are set out in the engagement agreement or a separate non-disclosure agreement, where one is executed. These Terms do not replace or limit the obligations in such agreements; they are complementary.

Information you share through the public contact form on this website is treated with discretion but is not subject to a formal confidentiality agreement until an engagement agreement or NDA is executed. We recommend that you do not include commercially sensitive proprietary formulation data in initial contact form submissions.

Limitation of Liability

To the fullest extent permitted by applicable Thai law, VeroPharma Group's total liability to you in connection with your use of this website or any services described on it, whether in contract, tort, or otherwise, is limited as follows:

  • We are not liable for any loss or damage arising from your reliance on the general informational content of this website as regulatory or professional advice.
  • We are not liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, loss of data, or business interruption, arising from your use of or inability to use this website, even if we have been advised of the possibility of such damages.
  • We are not liable for decisions made by Thai FDA or other competent authorities regarding the registration, classification, or approval of any product, including outcomes that differ from regulatory strategies or pathway assessments we have provided.
  • In connection with consulting services provided under a written engagement agreement, our total liability for direct damages shall not exceed the total fees paid by the client to VeroPharma Group in the 12 months preceding the event giving rise to the claim, unless the damage results from our gross negligence or intentional misconduct.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable mandatory Thai law, including liability for death or personal injury caused by our negligence or for fraud.

We are not liable for delays or failures in performance of any obligation under these Terms or any engagement agreement resulting from causes beyond our reasonable control, including acts of God, government actions, changes in law or regulation, or failure of third-party systems. This corresponds to the force majeure principle under Section 219 of the Civil and Commercial Code of Thailand.

These links are provided for convenience and reference. We do not control third-party websites, do not endorse their content, and are not responsible for their accuracy, availability, or privacy practices.

Governing Law and Jurisdiction

These Terms, and any dispute or claim arising from or in connection with them or your use of this website, are governed by and construed in accordance with the laws of the Kingdom of Thailand, without regard to its conflict-of-law rules.

Any dispute arising out of or in connection with these Terms that cannot be resolved by negotiation shall be subject to the exclusive jurisdiction of the competent courts of Bangkok, Thailand. This jurisdiction clause does not limit our right to apply to any court of competent jurisdiction for interim or injunctive relief to protect our rights or property, or to enforce a judgment obtained in the Thai courts.

Communications and agreements conducted through this website or by email are recognized as valid electronic records and communications under the Electronic Transactions Act, B.E. 2544 (2001), which gives legal effect to electronic contracts, signatures, and communications entered into or conducted electronically.

Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, in applicable Thai law, or in the scope of our services. The "Last updated" date at the top of this page indicates when these Terms were most recently revised. We encourage you to review these Terms periodically.

Continued use of this website after revised Terms have been published constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you should discontinue your use of this website. Material changes to the Terms applicable to an active consulting engagement will be addressed through the variation provisions in the applicable engagement agreement, not through unilateral update of these Terms.
